1. Services
TokensMind provides AI API aggregation, routing, usage management, API key management, billing, and related developer tools. The Services may allow you to access models or APIs from third-party providers such as OpenAI, Anthropic, Google, ByteDance, Qwen, Kimi, MiniMax, DeepSeek, Zhipu AI, or other providers shown in the dashboard or documentation. Available models, prices, routes, throughput, latency, rate limits, and features may change based on supplier availability, technical constraints, safety controls, commercial arrangements, and applicable law.2. Eligibility and account registration
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. If you use the Services on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms. You must provide accurate account, billing, and contact information and keep it updated. You are responsible for all activity under your account, organization, API keys, and credentials.3. API keys and security
You must keep API keys, passwords, tokens, and credentials confidential. You must not share, sell, lease, transfer, publish, or expose API keys to unauthorized parties. You are responsible for securing your applications, servers, repositories, client-side code, devices, and networks. If you suspect unauthorized access, you must rotate affected keys and notify us promptly. We may suspend, revoke, rate-limit, or disable API keys where we reasonably believe they are compromised, misused, involved in fraud or abuse, or creating risk for TokensMind, users, suppliers, payment partners, or third parties.4. Credits, billing, and payment
The Services are billed using prepaid credits, quota, usage units, or other payment methods shown in the dashboard. Credits are virtual service credits that may be used only for eligible TokensMind platform services. Credits are not bank deposits, e-money, stored value facilities, securities, currency, cash equivalents, or investment products. Credits do not accrue interest. Credits are:- Usable only within the TokensMind platform.
- Not withdrawable.
- Not transferable to another user unless we expressly allow it in writing.
- Not redeemable for cash.
- Not exchangeable for goods or services outside the TokensMind platform.
- Subject to usage, billing, refund, fraud prevention, and abuse controls.
5. Refunds and payment disputes
Refunds are governed by our Credits & Refund Policy. In summary:- You may request a refund of unused purchased credits within 1 calendar day after successful payment.
- Used credits are generally non-refundable.
- Promotional, bonus, test, or free credits are not refundable.
- Duplicate charges, payment success without credit delivery, API failures incorrectly charged, and platform-side model unavailability may be corrected or refunded according to the Credits & Refund Policy.
- Accounts involved in fraud, abuse, chargeback misuse, sanctions evasion, illegal activity, or serious Terms violations may be suspended and may lose refund eligibility to the extent permitted by law and payment network rules.
6. Acceptable use
You must comply with our AI Safety & Abuse Policy and all applicable laws. You must not use the Services to create, facilitate, instruct, distribute, automate, or scale:- Fraud, scams, phishing, impersonation, credential theft, or deceptive activity.
- Malware, exploit code, unauthorized access, credential stuffing, spam, or evasion of security controls.
- Child sexual abuse material, sexual exploitation of minors, or content sexualizing minors.
- Non-consensual sexual content, non-consensual intimate imagery, or abusive deepfakes.
- Hate, harassment, threats, targeted abuse, or unlawful discrimination.
- Terrorism, violent extremism, serious violence, weapons misuse, or instructions to commit harm.
- Illegal goods or services, money laundering, sanctions evasion, regulated activity without authorization, or other unlawful conduct.
- Infringing content, unauthorized use of copyrighted works, trademark misuse, or violation of publicity, privacy, or personality rights.
- Automated high-frequency activity that harms service stability, evades limits, resells access without authorization, or abuses upstream providers.
7. Supplier terms and model availability
Your use of third-party models may be subject to supplier terms, acceptable use policies, safety policies, rate limits, geographic restrictions, and data handling rules. You must not use TokensMind to bypass supplier restrictions, region controls, access controls, safety systems, account limits, or other upstream requirements. We do not guarantee that any particular model or supplier will remain available, uninterrupted, error-free, or suitable for your use case. Model responses may be inaccurate, incomplete, unsafe, biased, delayed, or unavailable.8. Generated content
You are responsible for prompts, inputs, outputs, applications, products, decisions, and actions arising from your use of the Services. You must evaluate AI-generated output before relying on it. The Services do not provide legal, medical, financial, investment, tax, professional, or other regulated advice. You must obtain independent professional advice where required. You are responsible for ensuring that your use of outputs complies with applicable law, third-party rights, and relevant supplier terms.9. Data and privacy
Our handling of personal data is described in the Privacy Policy and Data Processing & Log Retention Statement. TokensMind does not, by default, persistently store prompt or response content. API metadata, usage, billing, security, payment, and support records may be retained for the periods described in our policies.10. Intellectual property
We and our licensors own all rights in the Services, software, documentation, interfaces, designs, trademarks, trade names, logos, and other platform materials, except for content owned by you or third parties. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for your internal business or personal development purposes. You must not copy, modify, reverse engineer, scrape, benchmark for competitive misuse, overload, interfere with, or attempt to extract source code from the Services except as permitted by law.11. Service changes, suspension, and termination
We may modify, suspend, rate-limit, discontinue, or restrict any part of the Services where reasonably necessary for maintenance, security, supplier availability, legal compliance, payment risk, fraud prevention, abuse prevention, or business reasons. We may suspend or terminate your account if you violate these Terms, fail to pay amounts due, trigger high payment or abuse risk, misuse APIs, compromise platform security, or expose TokensMind or third parties to legal, commercial, technical, or reputational risk. You may stop using the Services at any time. Account closure does not affect outstanding payment obligations, usage fees, refund rules, dispute rights, audit records, legal obligations, or provisions that by nature should survive.12. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available”. We do not warrant that the Services, models, routes, suppliers, outputs, credits, dashboards, documentation, or integrations will be uninterrupted, secure, error-free, accurate, complete, or fit for a particular purpose. We are not responsible for failures caused by suppliers, cloud providers, payment processors, network issues, force majeure, illegal use, user-side integration errors, exposed API keys, or unsupported use cases.13. Limitation of liability
To the maximum extent permitted by law, HK Word Origin New Wisdom Technology Limited will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, business, goodwill, revenue, savings, or opportunity. To the maximum extent permitted by law, our total liability for all claims arising out of or relating to the Services is limited to the amount you paid to TokensMind for the Services giving rise to the claim in the 3 months before the event giving rise to liability. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.14. Indemnity
You agree to indemnify and hold harmless HK Word Origin New Wisdom Technology Limited, its directors, officers, employees, contractors, service providers, and affiliates from claims, losses, liabilities, damages, penalties, costs, and expenses arising from your use of the Services, your applications, your content, your breach of these Terms, your violation of law, or your infringement of third-party rights.15. Governing law and jurisdiction
These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict of law principles. Subject to any mandatory dispute resolution rules that apply, the courts of the Hong Kong Special Administrative Region have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.16. Changes to these Terms
We may update these Terms from time to time. Updated Terms will be posted on our website with a new “Last updated” date. Material changes may be notified through the dashboard, email, or website notice where appropriate. Your continued use of the Services after the effective date means you accept the updated Terms.17.
